CHANNEL PARTNER AGREEMENT — KG FINVEST

This Agreement is entered into between KG Finvest (AMFI ARN: 301473, IRDAI URN: ABLI1701250261, GSTIN: 36AEIPR0022H1ZR), having its principal place of business at Alwal, Hyderabad, hereinafter referred to as "the Company", and the registering individual hereinafter referred to as "the Partner".

1. APPOINTMENT & SCOPE

The Company appoints the Partner as a non-exclusive Channel Partner to source, refer, and assist in processing financial products offered by KG Finvest.
The Partner shall operate within the geographic area and product lines declared in this registration form.
This is a business-to-business arrangement. The Partner is an independent agent and not an employee of KG Finvest unless explicitly engaged under the Fixed Salary structure.

2. MANDATORY PERFORMANCE COMMITMENTS

Monthly File Target: The Partner commits to a minimum of 10 fully completed and disbursed files per calendar month. A "completed file" means a case that has been sanctioned, documents submitted, and disbursement confirmed by the lending/insurance institution.
Mandatory Product Coverage: Of the 10 monthly files, the Partner must ensure files across ALL FIVE mandatory products: (a) Home Loan, (b) Mortgage / Loan Against Property, (c) Balance Transfer, (d) Health Insurance, (e) Term Life Insurance. No substitution of mandatory products is permitted.
End-to-End Processing: The Partner is responsible for the complete file journey — from lead generation through document collection, submission, follow-up, sanction, and disbursement. Incomplete files (lead-only or application-only) do not count toward the monthly target.
Reporting: The Partner agrees to update all case statuses in the KG Finvest CRM system within 24 hours of any status change.

3. CONSEQUENCES OF TARGET SHORTFALL

If the Partner fails to meet the 10-file minimum for any month, the Company reserves the right to withhold incentive payments for that month (applicable to commission-basis partners).
If the Partner misses targets for 2 consecutive months, the Company may issue a Performance Improvement Notice (PIN) and suspend new lead allocation.
If the Partner misses targets for 3 consecutive months, the Company may terminate this Agreement with 7 days written notice.
KG Finvest operates on a commission-only model. No fixed salary or guaranteed income is payable under this agreement.

4. COMPENSATION

Commission shall be paid within 15 working days of month close, subject to receiving payout from the respective lender/insurer.
The Company reserves the right to revise commission rates with 30 days written notice.
TDS shall be deducted as applicable under the Income Tax Act.
Commission is payable only on disbursed files — not on applications or sanctions alone.

5. CODE OF CONDUCT

The Partner shall not misrepresent KG Finvest products, rates, or terms to customers.
The Partner shall not approach any KG Finvest customer for competing products during the tenure of this Agreement and for 12 months thereafter.
The Partner shall maintain strict confidentiality of customer data in compliance with applicable laws.
The Partner shall not collect any fees, charges, or payments from customers on behalf of KG Finvest without written authorization.
Any fraudulent activity, misrepresentation, or violation of regulatory guidelines will result in immediate termination and legal action.

6. INTELLECTUAL PROPERTY & BRANDING

The Partner may use KG Finvest's name, logo, and marketing materials only as explicitly authorised in writing.
All leads, customer data, and case files remain the property of KG Finvest.

7. TERMINATION

Either party may terminate this Agreement with 30 days written notice without cause.
The Company may terminate immediately for breach of conduct, fraud, or regulatory violation.
Upon termination, the Partner shall immediately cease representing KG Finvest and return all confidential materials.

8. GOVERNING LAW

This Agreement is governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Hyderabad, Telangana.
